David Harris Katz Entertainment Release Form
1. For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, I hereby grant David Harris Katz Entertainment, Inc., and their respective designees, licensees, assignees and distribution partners (individually and collectively “Producer”), the absolute and irrevocable, royalty-free right and permission to photograph, film, videotape, record, reproduce, portray and/or otherwise exploit my name, actual or simulated voice, persona, appearance, photograph, portrayal, characteristics, biographical material, image and/or actual or simulated likeness (collectively, “Likeness”) in, and in connection with, “A Page in History” and any and all related or ancillary aspects or activities thereof or otherwise in any medium now known or hereafter created and to use the results and proceeds thereof including, without limitation, all video and audio recordings, photographs and/or film (collectively “Recordings”) produced by Producer incorporating my Likeness or any portion thereof, and any and all performances, stories, statements or actions made by me, whether written, spoken, sung, or otherwise uttered or expressed by me, information given by me and/or materials provided by me, captured on any such Recordings (such results and proceeds referred to collectively herein as the “Material”) as set forth herein. I acknowledge that the Material may be used in articles and other media created by Producer and featured on properties and/or channels owned or controlled by Producer and/or its partners.
(a) I agree that the Producer may distribute, publish, alter and/or edit, or otherwise use, and permit third parties to use, in any manner (in Producer’s sole discretion), the Material and/or my Likeness (as captured in the Material) in whole or in part, alone or in conjunction with other material, in connection with “A Page in History” and/or in connection with any other editorial or commercial activity of Producer or such permitted third parties whether related or unrelated to “A Page in History,” in any and all media and by any and all technologies now known and hereafter devised, throughout the universe and in perpetuity and in any ancillary exploitation thereof, including, without limitation, websites, social media, publications, “sponsored” posts, and anything else in connection with publicity, marketing, promotion and advertising of Producer or such permitted third parties. Producer has no obligation to use the Material and/or my Likeness. I shall have no rights of review or approval regarding “A Page in History” or the exercise of the granted rights, and Producer may edit or delete the Material and/or my Likeness and make any other changes in the Materials as Producer chooses in its sole discretion; and
(b) I agree that the Producer will copyright the Material in Producer’s own name or in any other name. I understand that all rights in and to the Material, including the raw footage, outtakes, sounds, and the images contained therein, shall be Producer’s sole and absolute property. I also understand and agree that my appearance in “A Page in History” is not, and will not be deemed, employment or an engagement to perform any services, and there will be no payment due in connection with the use of the Material.
2. I represent and warrant that I have the right to grant Producer all rights set forth herein and own or control all rights that may be required for Producer’s use of the Material as contemplated hereunder, including written permission of any and all subjects therein, without necessity of obtaining consent or making payment to any third party or entity. I confirm that, to the best of my knowledge, any statements made by me in the Material will be true and will not violate or defame any third party nor infringe upon the intellectual property, right of publicity, privacy, or any other right of a third party. I hereby release Producer, its licensees and assigns, and each of the respective officers, directors, shareholders, and employees thereof (“Released Parties”) from, and covenant not to sue for, any claim or cause of action, whether known or unknown, based upon or relating to Producer’s use of the Material hereunder or exercise of any other right set forth herein. I further agree to indemnify, defend and hold harmless the Released Parties from and against any and all liabilities, losses, claims, demands, costs (including without limitation reasonable attorneys’ fees), and expenses arising in connection with your breach or alleged breach of any of the above representation or agreements, including any third party claim concerning ownership of the Material and any names / images contained therein.
3. I acknowledge that I will have neither the right to rescind or terminate this Agreement nor any of Producer’s rights hereunder nor will I have the right to enjoin any exploitation of “A Page in History” or Materials. This Appearance Release Form constitutes our entire agreement with respect to the subject matter hereof and cannot be amended except by a written instrument signed by me and Producer.
4. I warrant that I am at least eighteen (18) years of age and that I have the full, complete and unrestricted right and authority to enter into this Appearance Release.
